Nevada Secretary of State

Nevada has an unusual requirement, as stated on their website: "All corporations, limited liability companies, limited liability partnerships and limited partnerships registered in Nevada are required to obtain a Nevada Business License (NRS 364A). Contact the Nevada Department of Taxation for more information." Those who form a corporation should also realize that the initial filing fees payable upon filing, which start at $175, do not include the $165 filing fee which must accompany the list of officers, a report which is due very shortly after formation of a corporation ("pursuant to Nevada Revised Statutes 78.150, each Corporation... shall, on or before the first day of the second month after the filing of its articles of incorporation, and annually thereafter, file its list of officers, directors and resident agent.") As the foregoing quoted material implies, and as is apparent from examination of the list, this requirement of disclosure of information effectively negates anonymity for the participants in a Nevada corporation, at least where (as is usually the case) the officers and directors are the same persons as the stockholders of incorporation.
